1. AGREEMENT OVERVIEW

This Web Hosting and Domain Agreement (hereinafter referred to as the “Agreement”) is entered into on the DATE, by and between COMPANY NAME, with its registered office at COMPANY’S ADDRESS (hereinafter “Host”) and CLIENT NAME, with its principal place of business at CLIENT’S ADDRESS (hereinafter “Client”).

2. WEB HOSTING SERVICES

The Host agrees to provide the Client with space on a server, internet connectivity, and other related services necessary for the Client to host a website. The Host will ensure that the server is maintained and running 24/7 except for maintenance and repair. The Client acknowledges that the Host may need to temporarily suspend services for technical reasons, or to maintain network equipment or facilities.

3. DOMAIN REGISTRATION

The Host will register an Internet Domain Name on behalf of the Client upon the Client’s request and subject to the Host’s acceptance. The Client acknowledges that registration of the Domain Name is subject to third-party terms and conditions including, but not limited to, the terms and conditions of the domain name registration authorities.

4. FEES AND PAYMENT TERMS

The Client agrees to pay the Host the fees for the Services as set out in the PROVIDE SPECIFIC PRICING DOCUMENT. All fees are due and payable on the DUE DATE.

5. CLIENT RESPONSIBILITIES

The Client is solely responsible for the content of the Website. The Client agrees to secure all necessary rights and permissions for any content delivered to the Host for inclusion in the Website, including but not limited to copyrights, trademarks, patents, trade secrets, and licenses.

6. SERVICE LEVEL AGREEMENT

The Host will provide services in accordance with the Service Level Agreement detailed in the SPECIFIED DOCUMENT. The Host will make every reasonable effort to provide uninterrupted service to the Client, but cannot guarantee 100% uptime due to necessary maintenance and potential network or equipment problems.

7. TERMINATION

This Agreement may be terminated by either party by providing NUMBER OF DAYS days written notice to the other party. If the Host terminates this Agreement due to the Client’s breach of the Agreement, the Client will be responsible for any outstanding fees owed to the Host.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of JURISDICTION.

9. ENTIRE AGREEMENT

This Agreement, including any exhibits attached hereto and made part hereof, constitutes the entire agreement between Host and Client with respect to the subject matter hereof.
