1. SERVICES AND PERFORMANCE

The Company shall own all rights, title, and interest in and to the recorded voice-over work, including all copyright and other intellectual property rights. The Artist hereby assigns to the Company all such rights, including the right to modify, distribute, and use the work for any purpose, without any further payment to the Artist beyond the compensation specified in this Agreement.6. INDEPENDENT CONTRACTOR
The Artist is an independent contractor, and nothing in this Agreement shall be construed to create an employer-employee relationship between the Company and the Artist. The Artist is not entitled to any benefits or protections that the Company provides to its employees.7. INDEMNIFICATION
The Artist agrees to indemnify and hold harmless the Company, its affiliates, and its respective directors, officers, employees, agents, and representatives against any and all claims, costs, damages, losses, liabilities, and expenses (including attorneys’ fees and costs) arising out of or in connection with any claim arising from or related to the Services provided by the Artist.8. GOVERNING LAW
