This SEO Retainer Agreement (hereinafter, the “Agreement”) is made as of [Date], by and between [Your Company Name], a [Your Company Legal Structure], with its principal place of business at [Your Company Address] (hereinafter, the “Company”), and [Client’s Company Name], a [Client’s Company Legal Structure], with its principal place of business at [Client’s Company Address] (hereinafter, the “Client”).


The Company agrees to provide the Client with Search Engine Optimization and related services (hereinafter, the “Services”) as described in the attachment to this Agreement. The Company will use its best efforts to provide the Services in a timely and professional manner, consistent with industry standards.


The Client agrees to pay the Company a retainer fee of [Monthly Retainer Fee] per month, due on the first day of each calendar month. This fee includes all Services described in the attachment to this Agreement and up to [Number] hours of additional consultation per month. Any unused consultation hours will not roll over to subsequent months.


This Agreement shall begin on [Start Date] and continue until [End Date] unless earlier terminated by either party for any reason, provided that the terminating party gives the other party at least [Number of Days] days’ written notice of its intention to terminate. The Client agrees to indemnify and hold harmless the Company from any and all claims, demands, losses, causes of action, damage, lawsuits, judgments, including attorneys’ fees and costs, arising out of, or relating to, the Client’s negligence or failure to follow the recommendations of the Company.


This Agreement shall be governed by and construed in accordance with the laws of [Your State].
