REAL ESTATE JOINT VENTURE AGREEMENT
THIS JOINT VENTURE AGREEMENT (the “Agreement”) made and entered into this **___day of ________, 20______ (**the “Execution Date**”), BETWEEN: _________ of __________ (the “First Party”), AND _________ of __________ (the “Second Party”). Collectively referred to as the “Parties”.RECITALS
WHEREAS the parties desire to combine their efforts for the purpose of purchasing, developing, and selling real estate properties; NOW THEREFORE, in consideration of the mutual covenants and agreements hereinafter set forth and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:ARTICLE 1 – JOINT VENTURE
1.1 Formation The parties hereto hereby form a Joint Venture under the laws of the state of Delaware, subject to the terms and conditions in this Agreement.ARTICLE 2 – PURPOSE
2.1 Purpose The purpose of this Joint Venture is to purchase, develop, and sell real estate properties.ARTICLE 3 – CONTRIBUTION
3.1 Capital Contribution The Parties shall contribute capital and resources to the Joint Venture as agreed upon.ARTICLE 4 – DISTRIBUTION AND PROFITS
4.1 Profits and Losses Profits, losses, and distributions of cash and other assets will be divided as per agreed percentage between the Parties.ARTICLE 5 – MANAGEMENT
5.1 Management All decisions regarding the management and control of the Joint Venture will be decided by the Parties.ARTICLE 6 – DISSOLUTION
6.1 Dissolution The Joint Venture will be dissolved upon the completion of the business or as agreed by the Parties.ARTICLE 7 – INDEMNIFICATION
7.1 Indemnification Each Party will indemnify the other against any loss, cost, or liabilities arising from the performance of this Agreement.ARTICLE 8 – GOVERNING LAW
8.1 Governing Law This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware.ARTICLE 9 – DISPUTE RESOLUTION
9.1 Arbitration All disputes under this Agreement will be resolved by arbitration in Delaware. IN WITNESS WHEREOF the Parties have executed this Joint Venture Agreement as of the Execution Date.
