1. PARTIES

This Podcast Production Agreement (the “Agreement”) is entered into by and between [Client’s Full Name] (the “Client”) and [Producer’s Full Name or Production Company’s Name] (the “Producer”), collectively referred to as the “Parties”, as of [Date].

2. SCOPE OF SERVICES

The Producer agrees to provide podcast production services (the “Services”) as described in Appendix A attached hereto. The Services may include, but are not limited to, content creation, editing, sound engineering, marketing, and distribution strategy. Any Services not included in Appendix A will require an additional written agreement.

3. COMPENSATION

As consideration for the Services, the Client agrees to pay the Producer the sum of [$] per podcast episode payable on [Payment Terms]. The Parties may agree to different payment terms in writing.

4. INDEPENDENT CONTRACTOR RELATIONSHIP

The relationship of the Parties established by this Agreement is that of independent contractors, and nothing contained in this Agreement should be construed to give either party the power to direct and control the day-to-day activities of the other.

5. OWNERSHIP AND RIGHTS

Upon full payment of the fees, the Client will own the finished podcast episodes produced under this Agreement. The Producer retains the right to use the podcast episodes for promotional purposes unless otherwise agreed in writing.

6. CONFIDENTIALITY

During the term of this Agreement and for [Time Period] thereafter, the Producer agrees to hold in strictest confidence and not to disclose to any person or entity any Confidential Information of the Client.

7. TERM AND TERMINATION

This Agreement shall commence on [Start Date] and continue until [End Date] unless terminated earlier by either Party. Either Party may terminate this Agreement upon [Notice Period] written notice to the other Party.

8. INDEMNIFICATION

Each Party agrees to indemnify and hold harmless the other Party against any and all claims, damages, liabilities, costs, and expenses arising out of the breach of the representations and warranties made by such Party herein.

9. GOVERNING LAW AND DISPUTE RESOLUTION
