This non-compete agreement (the “Agreement”) is entered into as of [Effective Date] by and between [Party A’s Legal Name], located at [Party A’s Address] (the “Company”), and [Party B’s Legal Name], located at [Party B’s Address] (the “Party”).


In consideration of employment, the Party agrees that [he/she] will not directly or indirectly engage in any business competitive with the Company during the term of the Agreement and for a period of [Non-Compete Period] following termination of the Agreement, irrespective of the cause of termination.

The Party agrees not to use or disclose any confidential or proprietary information about the Company, its operations, customers, business plans, or strategies, except as authorized by the Company.


In the event of a breach or threatened breach of this Agreement by the Party, the Company shall be entitled to an injunction restraining the Party from committing any violation of any provision contained in this Agreement. Nothing stated in this Agreement shall be construed as prohibiting the Company from pursuing any other remedies available to it for such breach or threatened breach.


This Agreement will be governed by and construed in accordance with the laws of [Governing Jurisdiction], without regard to its conflict of laws provisions.


This Agreement constitutes the entire agreement between the Parties and supersedes any prior oral or written agreements or understandings between them concerning the subject matter of this Agreement.
