1. Services
Company Name (hereinafter, the “Provider”) agrees to provide Local Search Engine Optimization services (the “Services”) to Client Name (hereinafter, the “Client”), whereby the Provider will optimize the Client’s online presence, with a focus on local search results. This service shall include but not limited to the optimization of the Client’s Google My Business profile, local citations, and local content creation.
2. Term & Termination
This Agreement shall commence on Start Date and continue until End Date unless terminated earlier according to the provisions herein. Either party may terminate this Agreement upon Number of Days days prior written notice if the other party breaches any term of this Agreement and fails to correct such breach to the non-breaching party’s reasonable satisfaction within that notice period.
3. Payment Terms
The Client will pay the Provider a fee of Fee Amount for the Services. The payment will be made according to the following schedule: Payment Schedule. Late payments shall accrue interest at a rate of Interest Rate per annum.
4. Duties and Responsibilities
The Provider shall undertake the following responsibilities: – Optimization of the Client’s Google My Business profile to enhance local visibility. – Creation and optimization of local citations to improve local search ranking. – Creation of locally targeted content aimed at increasing relevance in local search results. The Client shall provide all necessary access, cooperation, and information as may be required by the Provider in the performance of the Services.
5. Confidentiality
Both parties agree to keep all the information regarding the other’s business, including, but not limited to, the details of the Services, business operations and strategies, trade secrets, customers and suppliers, and other confidential information, strictly confidential, and to not disclose such information to any third party without the prior written consent of the other party.
6. Independence of the Parties
Each party hereto is an independent contractor. Nothing in this Agreement shall be construed to create any partnership, joint venture, employer-employee or agency relationship between the parties.
7. Limitation of Liability
In no event shall the Provider be liable for any indirect, incidental, special or consequential damages, or loss of profits, revenue, data or use, by the Client or any third party, whether in an action in contract or tort or strict liability or other legal theory. The Provider’s total liability for any and all damages, regardless of the form of the action, shall be limited and capped in their entirety to the fees paid by the Client to the Provider for the Services under this Agreement during the Number of Months months immediately preceding the act allegedly giving rise to the liability.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of State, Country without regard to its conflict of laws principles.
9. Entire Agreement
This Agreement, including all Exhibits and other documents incorporated herein, constitutes the entire Agreement between the parties pertaining to the subject matter hereof, and supersedes all prior agreements, understandings, negotiations and discussions, whether oral or written, of the parties.
10. Signatures
By signing below, the parties hereby represent that they have read and understand this Agreement and agree to be bound by its terms and conditions.
