This Agreement is made on [Date] between [Company] a company incorporated under the laws of [Country] and having its registered office at [Address] (hereinafter referred to as the “Client”) and [Service Provider], a company incorporated under the laws of [Country], and having its registered office at [Address] (hereinafter referred to as the “Service Provider”).


The Service Provider agrees to provide digital marketing services to the Client, including but not limited to Social Media Marketing, Email Marketing, SEO, Content Creation, and other related services (the “Services”). The specific Services and deliverables to be provided by the Service Provider shall be as set out in Schedule [1] attached to this Agreement.


This Agreement shall commence on [Start Date] and will continue for a period of [Length of Contract] unless terminated earlier in accordance with the terms of this Agreement. Either party may terminate this Agreement upon giving [Notice Period] written notice to the other party.


The Client agrees to pay the Service Provider the fees as set out in Schedule [2] attached to this Agreement. The Service Provider will invoice the Client monthly in advance, and payment is due within [Number of Days] days of the date of the invoice.


The Service Provider agrees to keep confidential all information that it receives from the Client in connection with the Services, and not to use or disclose that information except as necessary to perform the Services or as required by law. All intellectual property rights in any work produced by the Service Provider in the course of providing the Services will belong to the Client, and the Service Provider agrees to assign all such rights to the Client.


Any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration under the rules of the [Arbitration Institution], which rules are deemed to be incorporated by reference into this clause.
