1. IDENTIFICATION OF PARTIES

This agreement, dated the [DATE], is made between [COPYWRITER’S FULL NAME OR COMPANY NAME], hereafter referred to as “Copywriter,” and [CLIENT’S FULL NAME OR COMPANY NAME], hereafter referred to as “Client.”

2. DESCRIPTION OF SERVICES

The Copywriter agrees to provide the Client with copywriting services as outlined in the attached Schedule A, which forms part of this agreement. These services may include, but are not limited to, content creation for marketing materials, advertisements, websites, and other forms of communication.

3. PAYMENT FOR SERVICES

The remaining balance shall be paid in accordance with the terms set out in Schedule B, which also forms part of this agreement.

4. DEADLINES

The Copywriter will make every effort to meet the agreed-upon deadlines, but is not responsible for delays due to circumstances beyond their control.

5. REVISIONS AND REWRITES

6. CONFIDENTIALITY

The Copywriter agrees to keep all information related to this agreement, including the nature of the work, the Client’s business operations, and any proprietary information, confidential. This obligation will continue even after the termination of this agreement.

7. COPYRIGHT AND OWNERSHIP

Upon receipt of full payment, the copyright for all work produced under this agreement will be transferred to the Client. The Client will have the exclusive right to use, publish, and distribute the work in any medium.

8. INDEMNIFICATION

Both parties agree to indemnify and hold each other harmless from any losses, claims, damages, or liabilities related to or arising out of the services provided under this agreement.

9. TERMINATION

Either party may terminate this agreement at any time by giving [NOTICE PERIOD] written notice to the other party. Upon termination, the Client agrees to pay for all services rendered up to the date of termination.
