8. GOVERNING LAW

9. BINDING EFFECT
This Contract is binding upon and inures to the benefit of the parties and their respective heirs, executors, administrators, successors and assigns.
10. ENTIRE AGREEMENT
This Contract constitutes the entire agreement between the parties and supersedes all prior oral or written agreements.
