1. AGREEMENT TERMS
This Agreement is entered into as of ____________, 20______ between ______________ (“the Company”) having its principal place of business at ________________________, and _______________ (“the Ambassador” or “the Brand Ambassador”), collectively referred to as “the Parties”.
This Agreement shall commence on the date first provided above and shall continue until terminated by either Party in accordance with the termination procedures outlined in this Agreement.
2. BRAND AMBASSADOR’S RESPONSIBILITIES
The Brand Ambassador shall use their best efforts to promote the Company’s business, products, and services, and shall conduct themselves in a manner consistent with the Company’s brand, values, and public image. The Ambassador’s specific responsibilities shall include, but not be limited to, the following duties as agreed upon by both Parties:

The Brand Ambassador shall not disclose to any third party any information relating to the business, affairs, customers, clients, suppliers, plans, or strategy of the Company, whether during the term of this Agreement or at any time thereafter, except as required by law or as authorized by the Company.
5. INTELLECTUAL PROPERTY
All intellectual property rights in any works, materials, or content created by the Brand Ambassador in connection with this Agreement shall belong to the Company. The Ambassador agrees to execute any documents necessary to ensure such ownership.
The Brand Ambassador shall not be liable to the Company for any indirect, incidental, special, punitive, or consequential damages arising out of or in connection with this Agreement.
Either party may terminate this Agreement at any time by providing __________ days’ written notice to the other party. Upon termination, the Brand Ambassador shall return all property and confidential information belonging to the Company.
8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of ______________.
9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all previous agreements, understandings, and arrangements, whether oral or written.
