1. PARTIES

SERVICES

Any changes to the Services or additional services provided to the Client will be subject to a separate written agreement.3. COMPENSATION
As full compensation for the Services, the Client agrees to pay the Animator a total fee of [Amount in Words (Amount in Numbers)], payable according to the payment schedule set forth in Exhibit B – Payment Schedule. The Client will be responsible for all other reasonable expenses incurred by the Animator in performing the Services, provided that such expenses have been approved in advance by the Client in writing.4. The Animator agrees to complete the Services and deliver the final work product to the Client on or before [Completion Date], as outlined in the attached Exhibit C – Timeline. Any modifications to the delivery date or timeline must be agreed upon in writing by both parties.5. INTELLECTUAL PROPERTY
Upon full payment of the agreed-upon fee, all intellectual property rights in the final work product, including but not limited to copyright, shall be transferred to the Client. The Animator reserves the right to use samples of the work product in its portfolio and promotional materials.6. CONFIDENTIALITY
The Animator agrees to keep confidential and refrain from using or disclosing any information, documents, or materials provided by the Client or created during the performance of the Services, except as necessary to perform the Services or as required by law.7. LIABILITY
The Animator shall not be liable for any incidental, consequential, indirect, or special damages arising out of or related to this Agreement, even if the Animator has been advised of the possibility of such damages.8. TERMINATION
Either party may terminate this Agreement with a written notice of [Notice Period in Days] days. Upon termination, the Client shall pay the Animator for the Services performed up to the effective date of termination.9. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of [State, Country].10. ENTIRE AGREEMENT
