Affiliate agrees to indemnify, defend and hold harmless the Company, its officers, directors, employees, agents, shareholders, affiliates, and customers from and against all allegations, claims, actions, suits, demands, damages, liabilities, obligations, losses, settlements, judgments, costs and expenses.

9. Entire Agreement

This Agreement contains the entire agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, of the Parties.

10. Governing Law
