1. AGREEMENT
This Accounting and Financial Consultancy Agreement (the “Agreement”) is entered into on this day of month year, by and between (Name of the Client), a (type of entity and jurisdiction) (the “Client”), and (Name of the Consultancy Firm), a (type of entity and jurisdiction) (the “Consultant”) (collectively referred to as the “Parties”).2. SERVICES
The Consultant agrees to provide the Client with accounting and financial consultancy services (the “Services”) as described in Exhibit A attached to this Agreement. The Consultant shall provide the Services in a professional manner, in accordance with the generally accepted industry standards and practices, and to the best of their knowledge, skills, and abilities.3. FEES AND PAYMENT
In consideration of the Services provided by the Consultant, the Client agrees to pay the Consultant a fee as outlined in Exhibit B attached to this Agreement. The Client shall make payments to the Consultant as per the payment schedule stated in Exhibit B. Any additional expenses incurred by the Consultant in the provision of the Services shall be reimbursed by the Client upon presentation of valid receipts.4. CONFIDENTIALITY
The Consultant agrees to keep all the information related to the Client’s business, including, but not limited to, financial data, strategic plans, customer lists, and employee data (the “Confidential Information”), strictly confidential. The Consultant shall not disclose any Confidential Information to any third party without the prior written consent of the Client.5. TERM AND TERMINATION
This Agreement shall commence on the date first written above and shall continue until date unless earlier terminated by either Party upon written notice. Upon termination, the Consultant shall return all Confidential Information and any other property of the Client in their possession.6. INDEMNIFICATION
Each Party agrees to indemnify and hold harmless the other Party against any and all claims, losses, damages, liabilities, penalties, punitive damages, expenses, reasonable legal fees and costs of any kind or amount, which result from the negligence of or breach of this Agreement by the indemnifying Party, its officers, directors, employees, agents, contractors, or subcontractors.7. DISPUTE RESOLUTION
In the event of any dispute arising out of or relating to this Agreement, the Parties agree to negotiate in good faith to resolve the dispute. If the dispute cannot be resolved through negotiations, it shall be resolved by arbitration in accordance with the rules of (Name of the Arbitration Association).8. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with the laws of (Jurisdiction). Each Party agrees to submit to the exclusive jurisdiction of the courts in (Jurisdiction) in relation to any dispute arising out of this Agreement.9. ENTIRE AGREEMENT
This Agreement constitutes the entire agreement between the Parties and supersedes all prior understandings, representations, or agreements, whether oral or written, between the Parties relating to the subject matter of this Agreement.10. SIGNATURES
